These Terms of Service ("Terms") constitute a legally binding agreement between you and Bright SAI ("Company," "we," "our," or "us") governing your access to and use of our website, products, and services (collectively, the "Services").

Bright SAI provides signal-based outbound intelligence tools and services designed to help businesses identify and prioritize sales opportunities. Our Services are currently in private beta and are subject to change without notice.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time without prior notice or liability.

We do not warrant that our Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIGHT SAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless Bright SAI and its affiliates from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from your use of our Services, violation of these Terms, or infringement of any third-party rights.

Termination

We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Upon termination, your right to use our Services will immediately cease.

All provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, and limitations of liability.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

Dispute Resolution

Any dispute arising from these Terms or your use of our Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised effective date. Your continued use of our Services after such changes constitutes acceptance of the modified Terms.

Severability

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bright SAI regarding your use of our Services and supersede all prior agreements and understandings.
